After over a week of speculation, ServiceNow revealed on Tuesday its plan to acquire cybersecurity leader Armis in a $7.75 billion deal. This strategic move aims to integrate real-time security intelligence directly into ServiceNow's workflow products, enhancing overall security and vulnerability management.

Details of the Deal

The acquisition is expected to close in the second half of 2026, with ServiceNow financing the transaction through a mix of cash and debt. Once finalized, the company intends to link its Configuration Management Database (CMDB), which inventories all IT assets, with Armis’ data discovery tools. This integration will enable customers to better visualize vulnerabilities, prioritize risks, and automate remediation workflows.

Existing Synergies and Future Plans

Although ServiceNow and Armis already share several integration points, the acquisition promises to deepen these connections. The goal is to eliminate the need for disparate security solutions, providing a unified security platform. ServiceNow’s recent security revenue is around $1 billion annually, and the company aims to triple this figure through the acquisition.

Strategic Implications

Amit Zavery, President and COO of ServiceNow, emphasized that security will be embedded throughout their AI platform, reflecting the complex nature of modern cyber risks. Armis, headquartered in San Francisco with 950 employees, delivers $340 million in annual recurring revenue and was named a Leader in Gartner’s 2025 Magic Quadrant for Cyber-Physical Systems Protection Platforms.

Broader Acquisition Strategy

In addition to Armis, ServiceNow recently acquired Veza, an identity access management tool, and has pursued several other deals including Cueln, Data.World, Logik.ai, and Quality 360—highlighting its aggressive expansion strategy.

Industry Perspectives

Charles Betz, Vice President at Forrester, noted that the Armis acquisition significantly broadens ServiceNow’s data capabilities. He pointed out that Armis will provide vast new data streams to the CMDB, making discovery tools much more powerful and enabling better AI integration. The addition of Data.World, a data catalog platform, further signals a long-term strategic focus on managing and leveraging large enterprise data sets.

Competitive Landscape

Despite new entrants like Salesforce developing their own ITSM solutions, Betz considers ServiceNow to be far ahead in platform maturity. He compared it to a mouse threatening a cat—while Salesforce is a notable contender, ServiceNow maintains a substantial lead.

Moving Forward

ServiceNow’s leadership, including Group VP Heath Ramsey, highlighted a meticulous approach to integrating acquisitions. By embedding new code and capabilities into its platform, the company aims for seamless and enhanced user experiences, ensuring that clients benefit from the full potential of their expanded security and data management tools.
